INTRODUCTION

1. About Us
SAGLY is a mobile application dedicated to mountain bikers. We aim to make your rides more enjoyable, your bike setup optimal, and your maintenance routine seamless. In the future, we will also support skill-building to help you become a better rider. Our platform connects riders with tools, guides, and community-driven insights to elevate the mountain biking experience.

2. Registration
To access the full range of SAGLY’s features, you’ll need to create an account through a one-time registration process (see Section 4). Some general content, such as bike maintenance tips or skill-building guides, is available to all users without registration.

3. Our Mission
Our goal is to empower mountain bikers by simplifying bike maintenance, offering tailored setup recommendations, and helping riders achieve their goals. SAGLY is here to support you on every trail.

4. Disclaimer
Your safety and health are our top priorities. Always consult a qualified professional before making significant adjustments to your bike or undertaking physically demanding activities. SAGLY is not a substitute for professional advice and assumes no liability for the decisions you make based on the content provided. By agreeing to these T&Cs, you acknowledge that you are solely responsible for your health and safety.

SAGLY is licensed to You (End-User) by Anton Hörl, located and registered at Sonnberg 170, Leogang, Salzburg 5771, Austria (“Licensor“), for use only under the terms of this License Agreement. Our VAT number is ATU73470237.

By downloading the Licensed Application from Apple’s software distribution platform (“App Store”) and Google’s software distribution platform (“Play Store”), and any update thereto (as permitted by this License Agreement), You indicate that You agree to be bound by all of the terms and conditions of this License Agreement, and that you accept this License Agreement. App Store and Play Store are referred to in this License Agreement as “Services.”

The parties of this License Agreement acknowledge that the Services are not a Party to this License Agreement and are not bound by any provisions or obligations with regard to the Licensed Application, such as warranty, liability, maintenance and support thereof. Anton Hörl, not the Services, is solely responsible for the Licensed Application and the content thereof.

This License Agreement may not provide for usage rules for the Licensed Application that are in conflict with the latest Apple Media Services Terms and Conditions and Google Play Terms of Service (“Usage Rules“). Anton Hörl acknowledges that it had the opportunity to review the Usage Rules and this License Agreement is not conflicting with them.

SAGLY when purchased or downloaded through the Services, is licensed to You for use only under the terms of this License Agreement. The Licensor reserves all rights not expressly granted to You. SAGLY is to be used on devices that operate with Apple’s operating systems (“iOS” and “Mac OS”) or Google’s operating system (“Android”).

THE APPLICATION

SAGLY (“Licensed Application“) is a piece of software created to improve mountain bike settings, maintenance and riding — and customized for iOS and Android mobile devices (“Devices“).

The Licensed Application is not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use this Licensed Application. You may not use the Licensed Application in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

SCOPE OF LICENSE

1.  You are given a non-transferable, non-exclusive, non-sublicensable license to install and use the Licensed Application on any Devices that You (End-User) own or control and as permitted by the Usage Rules, with the exception that such Licensed Application may be accessed and used by other accounts associated with You (End-User, The Purchaser) via Family Sharing or volume purchasing.

2.  This license will also govern any updates of the Licensed Application provided by Licensor that replace, repair, and/or supplement the first Licensed Application, unless a separate license is provided for such update, in which case the terms of that new license will govern.

3.  You may not share or make the Licensed Application available to third parties (unless to the degree allowed by the Usage Rules, and with Anton Hörl’s prior written consent), sell, rent, lend, lease or otherwise redistribute the Licensed Application.

4.  You may not reverse engineer, translate, disassemble, integrate, decompile, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the Licensed Application, or any part thereof (except with Anton Hörl’s prior written consent).

5.  You may not copy (excluding when expressly authorized by this license and the Usage Rules) or alter the Licensed Application or portions thereof. You may create and store copies only on devices that You own or control for backup keeping under the terms of this license, the Usage Rules, and any other terms and conditions that apply to the device or software used. You may not remove any intellectual property notices. You acknowledge that no unauthorized third parties may gain access to these copies at any time. If you sell your Devices to a third party, you must remove the Licensed Application from the Devices before doing so.

6.  Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.

7.  Licensor reserves the right to modify the terms and conditions of licensing.

8.  Nothing in this license should be interpreted to restrict third-party terms. When using the Licensed Application, You must ensure that You comply with applicable third-party terms and conditions.

2.  You acknowledge that it is Your responsibility to confirm and determine that the app end-user device on which You intend to use the Licensed Application satisfies the technical specifications mentioned above.

3.  Licensor reserves the right to modify the technical specifications as it sees appropriate at any time.

REGISTRATION

1. Basic Membership
To access SAGLY’s services, users must complete a one-time registration. The minimum age for registration varies by country; a full list of age restrictions can be found [here]. With a “Basic Membership,” users have access to SAGLY’s “basic features.” SAGLY offers three registration methods:

  1. Via the SAGLY App: Users must provide complete and accurate information in the registration form, including location, first name, last name, and date of birth, unless optional fields are indicated. Registration must use a real name (not aliases or pseudonyms).
  2. Via Social Media Accounts: Users can register by importing verified data from their Facebook or Google accounts. This requires consent to transfer selected information from these platforms to SAGLY. Users can later edit or adjust this information in their profile.

2. Premium Membership
A SAGLY Premium Membership unlocks advanced features and tools beyond the basic functionality. Premium Memberships are available for a fee and include exclusive options and features (“Premium Features”) not accessible with a Basic Membership.

Premium memberships are subject to specific terms and conditions as outlined in Section 6. Unless otherwise specified in these T&Cs or Section 6, all other provisions of these T&Cs also apply to Premium Memberships. By registering as a Premium Member, you confirm that you meet the minimum age requirement for contractual agreements as per applicable law (details available [here]). If these conditions are not met, SAGLY is not bound to uphold the terms of the Premium Membership.

3. Minors
Only individuals who are legally capable of entering into contracts on their own behalf may register with SAGLY.

4. Consequences of Registration
By registering, users confirm their understanding and full acceptance of these T&Cs. Users must provide accurate, up-to-date, and complete information during registration and are responsible for regularly updating their details.

Each user is permitted only one SAGLY account. By registering, users confirm they have not previously held or deleted an active SAGLY account. After successful registration, users (hereafter referred to as “Registered Users”) can log in either by:

  1. Entering their email address and password on the SAGLY platform, or
  2. Using the Facebook Connect or Google Sign-In options.

5. SAGLY’s Rights
SAGLY reserves the right to decline any registration without providing a reason. In such cases, all submitted data will be promptly deleted.

If a user provides false, inaccurate, outdated, or incomplete information, or if SAGLY has reason to believe the information is not valid, SAGLY reserves the right to suspend or delete the account without prior notice. SAGLY may also deny future access to Premium Services or any part thereof without any obligation to reimburse the user.

SAGLY reserves the right to contact users at any time to verify registration details.

6. User Identity
SAGLY does not guarantee the authenticity of any user’s identity, as verifying individuals online is inherently limited. Users are responsible for independently verifying another user’s identity before interacting with them (e.g., adding as a friend or sending messages).

DISCONTINUATION OF SERVICES

1. Discontinuation of SAGLY Products
SAGLY reserves the right to discontinue one or more of its products or services. Discontinuation may occur to comply with changes in legislation, technical or security requirements, or to align with SAGLY’s corporate and product strategies. It may also respond to market and competitive conditions. Users will be notified of any discontinuation with reasonable advance notice.

After receiving such notice, Premium Members may continue using the app for the duration of their current subscription period. However, the following limitations may apply during this time:

  • The app may no longer be downloadable on new devices.
  • SAGLY will only update the product to ensure security and compliance. This means that updates to your device’s operating system or third-party services during this period may render the product unusable, for which SAGLY assumes no liability.

If you purchased your Premium Membership through an app that is being discontinued, your subscription will not automatically renew and will end at the close of your current subscription period. If your Premium Membership was acquired through another app that is not being discontinued, your subscription will renew automatically as described in Section 6.4.

You are entitled to a prorated refund for your current subscription period only if SAGLY cannot provide access to the app until the end of your current subscription. To request a refund in such cases, please contact SAGLY (see Section 6.7).

2. Notification
As described in Section 7.1, SAGLY will notify users of any discontinuation via email or through in-app communication within SAGLY products.

3. Connection to the Platform
When a SAGLY product is discontinued, its connection to the platform will be terminated. As a result, some features may be restricted, and data processed by the product will no longer synchronize with the platform. Instead, such data will only be available locally on your mobile device.

2. Special and Free Offers
SAGLY may introduce special promotions or free offers, which may be subject to additional terms or restrictions. These offers are non-transferable and cannot be shared between users.

3. Changes to SAGLY Products
SAGLY reserves the right to modify its features or services, including Premium Features. Most changes are intended to improve or optimize the app. Adjustments may also be necessary to comply with legal, technical, or security requirements, to align with SAGLY’s strategic goals, or to address market conditions and competition.

Unless changes significantly and adversely affect your use of SAGLY, no refunds for previously paid amounts will be issued, except as specified in Section 7.
